The resale of the shares of Class A common stock issuable upon exercise of the existing warrants is registered per an effective registration statement on Form S-1 (File No. 333-278995). The gross proceeds to Longeveron are expected to be approximately $4.4 million, prior to deducting placement agent fees and estimated offering expenses payable by the company. H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering.
