(CSE: IP) (OTCQB: IPNFF) (" ImagineAR " or the " Company ") an augmented Reality company that enables sports teams, brands and businesses to instantly create their own mobile phone immersive AR campaigns, is pleased to announce a non-brokered private placement financing (the "Offering") of up to 23,333,333 Units (the "Units), at a price of $0.03 per Unit for gross proceeds of up to $700,000.

Each Unit will be comprised of one (1) common share in the capital of the Company (" Common Shares ") and one (1) non-transferable Common Share purchase warrant (the " Warrant "), with each Warrant entitling the holder to purchase one additional common share at a price of $0.05 for a period of thirty-six (36) months from the closing of the Offering. In accordance with applicable Canadian securities laws, all securities issued and issuable pursuant to the private placement will be legended with a hold period of four (4) months and one day from the date of issuance. Completion of the Offering is subject to the receipt of all necessary regulatory approvals, including the approval of the Canadian Securities Exchange.

ImagineAR intends to use the net proceeds from the proposed private placement for general working capital, and operations, legal, and sales/marketing of products.
