Northern Graphite Announces $2.2 Million Non-Brokered Private Placement


(MENAFN- Newsfile Corp) Ottawa, Ontario--(Newsfile Corp. - September 11, 2025) - Northern Graphite Corporation (TSXV: NGC) (OTCQB: NGPHF) (FSE: 0NG) (XSTU: 0NG) (the " Company " or " Northern ") is pleased to announce a non-brokered private placement financing (the " Private Placement ") of up to 20,000,000 common shares of the Company (the " Offered Shares ") at a price C$0.11 per Offered Share for aggregate gross proceeds of up to C$2.2 million. The Private Placement has been conditionally accepted by the TSX Venture Exchange.

The net proceeds from the Private Placement will be used to initiate a feasibility study on Northern's planned Battery Anode Material facility in Baie-Comeau, Québec and for working capital and corporate expenses.

The Offered Shares to be issued in the Private Placement will be subject to the statutory hold period of four months from the date of issuance in accordance with applicable Canadian securities legislation. The Offering is subject to the receipt of all requisite approvals, including the final acceptance of the TSX Venture Exchange.
