This past year, Jenn worked on a committee that drafted legislation pertaining to nonprofits to help Minnesota laws work for charities instead of against them. The state legislature recently adopted those proposed changesMinnesota Governor Dayton signed the bill into law on April 21, 2017, amending the Minnesota Nonprofit Corporations Act, Chapter 317A, effective August 1, 2017.
Notable changes to Chapter 317A include: a.) updating the term written action to include electronic communication; b.) clarifying the role of nonprofit incorporators; c.) establishing special litigation committees and clarifying the boards role when it comes to committees; d.) permitting foreign nonprofits to convert into Minnesota nonprofits; and e.) permitting entities to convert into nonprofit corporations (in limited circumstances).
Urban was honored to be a part of the effort, and is even more thrilled the revisions were enacted this legislative session. She stated, The changes to Chapter 317A bring much-needed clarity to Minnesotas nonprofit laws, and transport Minnesota into the 21st century.
