NYDIG to Acquire Crusoe's Bitcoin Mining Operations

NYDIG has revealed its intent to acquire Crusoe's bitcoin mining business, incorporating its Digital Flare Mitigation (DFM) endeavors. The acquisition process awaits regulatory approval, standard consents, and finalization. Once finalized, around 135 employees from Crusoe will transition to NYDIG, maintaining their roles within the organization. There are no anticipated job cuts due to this acquisition. Specific details regarding the financial aspects of the deal remain undisclosed.

Tejas Shah, CEO of NYDIG, expressed,“Our collaboration with Crusoe stems from a shared cultural vision and a mutual dedication to advancing innovation at the nexus of power generation and computing. Crusoe has established an impressive bitcoin mining operation, showcasing extraordinary creativity by uniting the industry's finest talent to tackle intricate challenges and harness unutilized energy resources. We are thrilled to incorporate this exceptional team and their expertise into our expanding enterprise.”

Established in 2018, Crusoe has pioneered DFM technology that transforms natural gas from oil fields-typically flared off-into electricity for modular data centers. Initially utilized for bitcoin mining , the company has since broadened its scope to include artificial intelligence (AI) tasks powered by GPU clusters. Crusoe's methodology of integrating computing infrastructures with energy production has effectively diminished environmental impact while optimizing stranded energy sources.

Crusoe's mining endeavors have implemented over 425 modular data centers, accounting for upwards of 250 megawatts of energy spread across various states, including Colorado, North Dakota, Montana, Wyoming, New Mexico, Utah, Texas, as well as internationally in Argentina. The company claims that its DFM technology has helped avoid the release of 2.7 million metric tons of greenhouse gas emissions and has prevented nearly 22 billion cubic feet of natural gas from flaring.

Chase Lochmiller, co-founder and CEO of Crusoe, stated,“The proof-of-work consensus mechanism within the bitcoin blockchain inherently motivates the integration of energy and computational processes. Crusoe takes pride in having pioneered the repurposing of otherwise wasted energy resources like gas flaring to replenish the bitcoin ecosystem. Our innovative energy utilization strategy for mining is especially complementary to NYDIG's bitcoin custody, institutional trading, and mining operations, creating a cohesive entity that holds greater value than the individual components. We will persist in channeling the same energy-centric approach toward scaling AI infrastructure and hastening the acceptance and integration of AI into daily life.”

Post-acquisition, Crusoe plans to shift its strategic focus on scaling AI infrastructure, developing AI-optimized data centers, and broadening its Crusoe Cloud service offerings, while simultaneously innovating energy solutions tailored for its computing frameworks.
